СОГЛАШЕНИЕ
МЕЖДУ ПРАВИТЕЛЬСТВОМ РОССИЙСКОЙ ФЕДЕРАЦИИ
И ПРАВИТЕЛЬСТВОМ ЮЖНО-АФРИКАНСКОЙ РЕСПУБЛИКИ
О ВЗАИМНОЙ ОХРАНЕ ПРАВ ИНТЕЛЛЕКТУАЛЬНОЙ СОБСТВЕННОСТИ,
ИСПОЛЬЗУЕМОЙ И ПОЛУЧЕННОЙ В ХОДЕ ДВУСТОРОННЕГО
ОБОРОННО-ПРОМЫШЛЕННОГО СОТРУДНИЧЕСТВА
(Кейптаун, 5 сентября 2006 года)
Преамбула
Правительство Российской Федерации и Правительство
Южно-Африканской Республики, далее совместно именуемые Сторонами,
а по отдельности - как Сторона,
основываясь на Декларации о принципах дружественных отношений
и партнерства между Российской Федерацией и Южно-Африканской
Республикой, подписанной в Москве 29 апреля 1999 г., и Соглашении
между Правительством Российской Федерации и Правительством
Южно-Африканской Республики об оборонно-промышленном
сотрудничестве, подписанном в г. Претории 27 ноября 1995 г.,
подтверждая намерения укреплять дружественные отношения между
двумя государствами,
сознавая важность взаимной охраны прав интеллектуальной
собственности, используемой и полученной в ходе двустороннего
оборонно-промышленного сотрудничества,
принимая во внимание необходимость координации усилий Сторон и
принятия эффективных мер по предупреждению правонарушений при
использовании интеллектуальной собственности в ходе
оборонно-промышленного сотрудничества,
основываясь на принципах равенства и взаимной выгоды,
согласились о нижеследующем:
Статья 1
Определения
Для целей настоящего Соглашения применяются следующие понятия:
"уполномоченная организация" - физическое или юридическое лицо
государств Сторон, которое в соответствии с законодательством
государства соответствующей Стороны получило право на
осуществление внешнеторговой деятельности в отношении продукции
военного назначения в той мере, в какой это связано с
интеллектуальной собственностью, охватываемой настоящим
Соглашением;
"конфиденциальная информация" - информация, охраняемая в
соответствии с законодательством государств Сторон, или охраняемая
каким-либо иным образом;
"оборонно-промышленное сотрудничество" - деятельность Сторон в
области двусторонних отношений, связанная с вывозом и ввозом, в
том числе с закупкой или поставкой, продукции военного назначения,
а также с ее разработкой, производством и модернизацией;
"полученная интеллектуальная собственность" - интеллектуальная
собственность, созданная государствами Сторон и (или) их
уполномоченными организациями (совместно или самостоятельно) в
рамках настоящего Соглашения, после его вступления в силу;
"интеллектуальная собственность" понимается в значении,
указанном в статье 2 Конвенции, учреждающей Всемирную организацию
интеллектуальной собственности, подписанной в г. Стокгольме 4 июля
1967 г., с изменениями от 2 октября 1979 г., в той мере, в какой
это связано с оборонно-промышленным сотрудничеством на условиях
настоящего Соглашения;
"продукция военного назначения" - вооружение и военная
техника, работы (включая обслуживание), услуги, интеллектуальная
собственность и информация, относящиеся к двустороннему
оборонно-промышленному сотрудничеству;
"предшествующая интеллектуальная собственность" -
интеллектуальная собственность, принадлежащая полностью или
частично государству одной из Сторон и (или) его уполномоченной
организации и используемая ими в ходе оборонно-промышленного
сотрудничества в рамках настоящего Соглашения.
Статья 2
Сфера действия Соглашения
Настоящее Соглашение применяется к интеллектуальной
собственности, используемой в ходе оборонно-промышленного
сотрудничества, которая принадлежит, полностью или частично,
Российской Федерации и (или) ее уполномоченным организациям, или
принадлежит, полностью или частично, Южно-Африканской Республике и
(или) ее уполномоченному органу, а также к полученной
интеллектуальной собственности.
Стороны обеспечивают охрану прав интеллектуальной
собственности, связанной с двусторонним оборонно-промышленным
сотрудничеством, в соответствии с законодательством, а также
международными обязательствами государств Сторон.
Статья 3
Уполномоченные органы
Уполномоченным органом по реализации настоящего Соглашения с
Российской Стороны является Министерство юстиции Российской
Федерации.
Уполномоченным органом по реализации настоящего Соглашения с
Южно-Африканской Стороны является Департамент обороны
Южно-Африканской Республики.
В случае изменения уполномоченного органа одной из Сторон,
Стороны уведомляют друг друга в письменной форме по
дипломатическим каналам.
Статья 4
Сотрудничество в области охраны прав
интеллектуальной собственности
Стороны обмениваются опытом и информацией в сфере охраны прав
интеллектуальной собственности, а также распоряжаются,
контролируют, сохраняют и учитывают интеллектуальную собственность
в соответствии с законодательством и международными
обязательствами государств Сторон и осуществляют взаимодействие по
охране прав интеллектуальной собственности путем:
согласования мер по вопросам охраны прав интеллектуальной
собственности, принадлежащей государствам Сторон и (или) их
уполномоченным организациям, а также полученной в ходе
двустороннего оборонно-промышленного сотрудничества;
принятия мер по предупреждению нарушений прав интеллектуальной
собственности;
обсуждения процедур, связанных с охраной прав интеллектуальной
собственности;
других мер, согласованных Сторонами.
Статья 5
Распределение прав на полученную
интеллектуальную собственность
Стороны и (или) их уполномоченные организации при
распределении прав на полученную интеллектуальную собственность
руководствуются:
принципом пропорционального распределения, основанным на учете
вклада в сотрудничество каждой из Сторон и (или) уполномоченной
организации, включая предшествующую интеллектуальную
собственность, принадлежащую государству одной из Сторон и (или)
его уполномоченной организации;
взаимными обязательствами Сторон и (или) их уполномоченных
организаций по охране прав интеллектуальной собственности в ходе
двустороннего оборонно-промышленного сотрудничества;
правами каждой из Сторон и (или) их уполномоченных организаций
по защите прав интеллектуальной собственности в случае нарушения
другой Стороной и (или) ее уполномоченной организацией своих
обязательств.
В случае если законодательство государств Сторон не
обеспечивает надлежащую охрану полученной интеллектуальной
собственности, Стороны и (или) уполномоченные организации проводят
консультации по вопросам распределения прав на полученную
интеллектуальную собственность и ее охраны.
Статья 6
Заключение контрактов в соответствии с Соглашением
Уполномоченные органы Сторон и (или) уполномоченные
организации проводят взаимные консультации по вопросу заключения
контрактов, в которых определяются сроки и условия выполнения
проектов и программ сотрудничества, пути их осуществления,
финансовые условия, а также обязательства, связанные с охраной
прав интеллектуальной собственности и распределением прав на
полученную интеллектуальную собственность.
Уполномоченные организации Сторон в заключаемых контрактах
определяют объекты интеллектуальной собственности, использование
которых предвидится в ходе оборонно-промышленного сотрудничества.
Уполномоченные организации Сторон в заключаемых контрактах
принимают на себя обязательства, касающиеся полученной
интеллектуальной собственности и определяющие конкретные условия,
включая будущие вклады уполномоченных организаций Сторон, а также
права уполномоченных организаций Сторон и какой-либо третьей
стороны, касающиеся такой интеллектуальной собственности.
В контрактах должно быть установлено, что предшествующая
интеллектуальная собственность будет использоваться только после
обеспечения ее надлежащей правовой охраны.
Статья 7
Меры по охране
Каждая из Сторон в соответствии с законодательством своего
государства, а также ее международными обязательствами,
предпринимает меры, препятствующие производству и распространению
с территории своего государства на территории третьих государств
продукции военного назначения, изготовленной или произведенной с
использованием полученной и (или) предшествующей интеллектуальной
собственности, без согласия государства другой Стороны и (или) до
заключения необходимого лицензионного соглашения.
Уполномоченная организация одной из Сторон не будет передавать
полученную интеллектуальную собственность третьей стороне без
письменного согласия уполномоченной организации другой Стороны или
иного правообладателя.
Уполномоченная организация одной из Сторон не вправе заключать
с третьей стороной контракты, предусматривающие использование
полученной интеллектуальной собственности, до получения
письменного согласия Сторон через их уполномоченные органы в
соответствии с законодательством государств Сторон.
Статья 8
Вопросы конфиденциальности и секретности
Интеллектуальная собственность, принадлежащая государству
одной из Сторон и (или) ее уполномоченной организации, в рамках
настоящего Соглашения, а также любая связанная с ним информация,
заявленная этой Стороной и (или) ее уполномоченной организацией
как информация ограниченного использования или конфиденциальная,
охраняется как таковая другой Стороной.
Контракты, заключаемые уполномоченными организациями, должны
содержать специальное положение о защите конфиденциальной
информации.
Порядок взаимной передачи и защиты информации, составляющей
государственную тайну в Российской Федерации и (или)
государственные секреты в Южно-Африканской Республике,
определяется Соглашением между Правительством Российской Федерации
и Правительством Южно-Африканской Республики о защите секретной
информации в области обороны и оборонной промышленности,
подписанным в г. Претории 18 марта 2005 г.
Статья 9
Патенты
Стороны соблюдают международные обязательства своих
государств, связанные с патентованием, а также права
интеллектуальной собственности, принадлежащие третьим сторонам.
Уполномоченные органы и (или) уполномоченные организации
государств Сторон по взаимной договоренности определяют
целесообразность патентования полученной интеллектуальной
собственности, либо охраны ее в качестве конфиденциальной
информации.
При принятии решения об обращении за патентом уполномоченные
органы и (или) уполномоченные организации государств Сторон
руководствуются следующим:
заявки на выдачу патентов на изобретения, полезные модели,
промышленные образцы, созданные в Российской Федерации, сначала
подаются в федеральные органы исполнительной власти,
уполномоченные рассматривать такие заявки в соответствии с
законодательством Российской Федерации;
заявки на выдачу патентов на изобретения, полезные модели,
промышленные образцы, созданные в Южно-Африканской Республике,
сначала подаются в Бюро регистрации патентов Южно-Африканской
Республики.
Статья 10
Неправомерное использование интеллектуальной собственности
В ходе двустороннего оборонно-промышленного сотрудничества
уполномоченные организации сообщают своим уполномоченным органам
обо всех случаях неправомерного использования предшествующей или
полученной интеллектуальной собственности одной из Сторон и (или)
ее уполномоченной организацией или какой-либо третьей стороной.
Уполномоченные органы незамедлительно информируют друг друга о
таком неправомерном использовании интеллектуальной собственности и
уведомляют друг друга о принятых мерах и полученных результатах.
Уполномоченные органы и (или) уполномоченные организации могут
проводить дальнейшие консультации по вопросу возмещения убытков,
причиненных неправомерным использованием интеллектуальной
собственности.
Статья 11
Реализация Соглашения
Стороны при необходимости информируют друг друга через свои
уполномоченные органы о мерах, направленных на реализацию
настоящего Соглашения.
Статья 12
Урегулирование споров
Разногласия и споры, возникающие в связи с толкованием и (или)
выполнением настоящего Соглашения, разрешаются на дружественной
основе путем консультаций или переговоров.
Статья 13
Изменения
В настоящее Соглашение по взаимному согласию Сторон могут быть
внесены письменные изменения.
Предложения о внесении изменений в настоящее Соглашение
направляются Сторонами по дипломатическим каналам.
Статья 14
Вступление в силу и прекращение действия
Настоящее Соглашение вступает в силу с даты его подписания.
Настоящее Соглашение остается в силе до тех пор, пока одна из
Сторон письменно не уведомит другую Сторону о своем намерении
прекратить действие Соглашения не менее чем за шесть месяцев до
предполагаемого срока прекращения его действия.
Прекращение действия настоящего Соглашения не затрагивает прав
и обязательств Сторон, возникших в результате выполнения
настоящего Соглашения, если Стороны не договорятся об ином.
В подтверждение вышеуказанному должным образом уполномоченные
своими Правительствами представители Сторон подписали настоящее
Соглашение.
Совершено в Кейптауне 5 сентября 2006 г. в двух экземплярах на
русском и английском языках, причем оба текста имеют одинаковую
силу.

AGREEMENT
BETWEEN THE GOVERNMENT OF THE RUSSIAN FEDERATION
AND THE GOVERNMENT OF THE REPUBLIC OF SOUTH AFRICA
ON RECIPROCAL PROTECTION OF INTELLECTUAL PROPERTY RIGHTS
USED AND ESTABLISHED IN THE COURSE OF BILATERAL
DEFENCE-INDUSTRIAL COOPERATION
(Cape Town, 5.IX.2006)
Preamble
The Government of the Russian Federation and the Government of
the Republic of South Africa, hereinafter jointly referred to as
"the Parties" and separately as "a Party";
Referring to the Declaration on the principles of friendly
relations and partnership between the Russian Federation and the
Republic of South Africa, signed in Moscow on April 29, 1999 and
to the Agreement between the Government of the Russian Federation
and the Government of the Republic of South Africa on Defence
Industrial Cooperation, signed in Pretoria on November 27, 1995;
Confirming their intention to reinforce the friendly relations
between the two States;
Realising the importance of the reciprocal protection of
intellectual property rights used and established in the course of
bilateral defence-industrial cooperation;
Taking into consideration the need to coordinate the Parties'
efforts and to undertake effective measures to prevent any
infringements during the use of intellectual property in the
course of defence-industrial cooperation;
Adhering to the principles of equality and mutual benefit;
Have agreed as follows:
Article 1
Definitions
For the purpose of this Agreement, the following definitions
shall be applied:
"authorised organisation" means any legal or natural person of
the States of the Parties, which is authorised to trade in
military products in accordance with the domestic law in the
States of the respective Parties insofar as it relates to
intellectual property covered by this Agreement;
"confidential information" means information that is protected
by the domestic law of the States of the Parties or protected in
any other way;
"defence-industrial cooperation" means any activities of the
Parties in the field of bilateral relations related to the export
and import, including purchase and supply, of military-purpose
products, as well as to their development, manufacture and
upgrade;
"foreground intellectual property" means intellectual property
created by the States of the Parties and/or by their authorised
organisations, jointly or individually, after this Agreement has
entered into force and in terms thereof;
"intellectual property" bears the same meaning as described in
Article 2 of the Convention establishing the World Intellectual
Property Organisation, signed in Stockholm on July 4, 1967 as
amended on October 2, 1979 as it relates to defence-industrial
cooperation in terms of this Agreement;
"military-purpose products" means armament, military material,
works (including maintenance), services, intellectual property and
information relating to the bilateral defence-industrial
cooperation; and
"pre-owned intellectual property" means intellectual property
owned either wholly or in part by the respective States of the
Parties and is contributed by them to defence-industrial
cooperation taking place in terms of this Agreement.
Article 2
Scope of the Agreement
(1) This Agreement applies to intellectual property used in
the course of defence-industrial cooperation, owned or co-owned by
the Russian Federation and/or by its authorised organisations or
owned or co-owned by the Republic of South Africa and/or by its
Competent Authority as well as to foreground intellectual
property.
(2) The Parties shall protect all intellectual property rights
relating to defence-industrial cooperation between them in
accordance with the domestic law in force in the respective States
of the Parties and their international obligations.
Article 3
Competent Authorities
(1) The Competent Authority for implementing this Agreement
for the Russian Party shall be the Ministry of Justice of the
Russian Federation.
(2) The Competent Authority for implementing this Agreement
for the South African Party shall be the Department of Defence of
the Republic of South Africa;
(3) The Parties shall inform each other in writing through the
diplomatic channel in case of a change of a Competent Authority of
a Party.
Article 4
Coordination of measures to protect intellectual property
The Parties shall exchange experience and information on the
protection of intellectual property and shall handle, control,
keep and register intellectual property in accordance with the
domestic laws of the States of the Parties and with their
international obligations, and shall coordinate measures to
protect intellectual property by:
(a) coordinating measures of protection of all intellectual
property rights belonging to the States of the Parties and/or
their authorised organisations as well as resulting from bilateral
defence-industrial cooperation;
(b) implementing measures aimed at preventing infringements of
intellectual properly rights;
(c) discussing procedures on the protection of intellectual
property; and
(d) pursuing any other measures agreed to by the Parties.
Article 5
Apportionment of foreground intellectual property rights
(1) Foreground intellectual property rights shall be
apportioned by the Parties and/or their authorised organisations
as follows:
(a) By the principle of apportionment considering each Party's
and/or authorised organisation's contribution to the cooperation,
including pre-owned intellectual property of each Party and/or
their authorised organisation(s);
(b) through mutual obligations of the Parties and/or their
authorised organisation(s) to protect intellectual properly rights
during bilateral defence-industrial cooperation;
(c) by establishing the rights of each Party and/or its
authorised organisation(s) to protect the intellectual property
rights whenever the other Party and/or its authorised
organisation(s) breach their obligations.
(2) In instances where the domestic law in force in the States
of the Parties does not render adequate protection for foreground
intellectual property, the Parties and/or authorised organisations
shall consult on how foreground intellectual property rights shall
be apportioned and protected.
Article 6
Contracting under this Agreement
(1) The Competent Authorities of the Parties and/or the
authorised organisations shall consult each other on future
contracts that shall define the terms and conditions of
implementing projects and programmes of cooperation, ways of
implementation, financial terms and obligations on the protection
of all intellectual property rights and apportionment of
foreground intellectual property rights.
(2) In future contracts to be concluded in furtherance of this
Agreement, the authorised organisations of the Parties shall
determine the objects of intellectual property that shall be used
in the defence-industrial cooperation.
(3) The authorised organisations of the Parties shall enter
into a contractual arrangement concerning foreground intellectual
property that specifies any particular conditions thereto
including:
(a) any investment that the authorised organisations of the
Parties shall make; and
(b) the rights of the authorised organisations of the Parties
and any other third party concerning such intellectual property.
(4) Future contracts shall stipulate that any use of pre-owned
intellectual property shall only be possible once adequate legal
protection has been put in place.
Article 7
Measures of protection
(1) Each Party shall, in accordance with the domestic law in
force in its State and its international obligations, take
measures to prevent the manufacture and the proliferation from its
territory to the territory of third parties of any military
purpose-products manufactured or produced using foreground and/or
pre-owned intellectual property, without the consent of the State
of the other Party and/or after the required licensing
arrangements have been concluded.
(2) The authorised organisation of a Party shall not transfer
foreground intellectual property to a third party without the
written consent of the authorised organisation of the other Party
or any other co-owner.
(3) An authorised organisation of a Party shall only enter
into a contract with a third party involving foreground
intellectual property once written consent has been obtained from
the Parties through the Competent Authorities, in accordance with
the domestic law of the States of the Parties.
Article 8
Confidentiality and secrecy aspects
(1) Intellectual property owned by a State of a Party and/or
its authorised organisation, in the framework of this Agreement,
and any information relating thereto that is declared as
restricted or confidential by that Party and/or its authorised
organisation, shall be protected as such by the other Party.
(2) Contracts concluded by authorised organisations shall make
special provision for the protection of confidential information.
(3) The procedures for the exchange and protection of
information, containing the state secrets of the Russian
Federation and/or the state secrets of the Republic of South
Africa shall be determined in accordance with the Agreement
between the Government of the Russian Federation and the
Government of the Republic of South Africa concerning Protection
of Classified Defence- and Defence-Industrial Related Information,
signed in Pretoria on March 18, 2005.
Article 9
Patents
(1) The Parties shall abide by the international agreements
binding on their respective States, concerning patents and abide
by intellectual property rights owned by third parties.
(2) The Competent Authorities and/or authorised organisations
of the States of the Parties shall jointly decide whether to
jointly patent foreground intellectual property or to protect it
as confidential information.
(3) In determining whether to apply for patents, the Competent
Authorities and/or authorised organisations of the States of the
Parties shall take into consideration the following:
(a) patent applications for the inventions, utility models and
industrial designs made in the Russian Federation shall first be
submitted to the Federal Bodies of the Executive Power authorised
to consider these applications in accordance with the domestic law
of the Russian Federation;
(b) patent applications for the inventions, utility models and
industrial designs made in the Republic of South Africa shall
first be submitted to the Registrar of Intellectual Property of
the Republic of South Africa.
Article 10
Unlawful use of intellectual property
(1) The authorised organisations shall inform their respective
Competent Authorities of all cases of unlawful use of the
pre-owned or foreground intellectual property rights by any Party
and/or its authorised organisations or any third party.
(2) The Competent Authorities shall then immediately inform
each other of such unlawful use of intellectual property and
notify each other on the corrective measures taken and the results
thereof.
(3) The Competent Authorities and/or authorised organisations
may enter into further negotiations with respect to the recovery
of losses due to the unlawful use of intellectual property.
Article 11
Implementation of Agreement
The Parties shall, as and when required, inform each other
through their Competent Authorities on measures taken to implement
this Agreement.
Article 12
Settlement of disputes
Any difference or dispute arising from the interpretation
and/or implementation of this Agreement shall be settled amicably
through consultations or negotiations.
Article 13
Amendment
(1) This Agreement may be amended in writing with the consent
of both Parties.
(2) Proposals for the amendment of the Agreement shall be
transmitted between the Parties through the diplomatic channel.
Article 14
Entry into force and termination
(1) This Agreement shall enter into force on the date of
signature thereof.
(2) This Agreement shall remain in force until one of the
Parties notifies the other Party in writing not less than six
months before the date of its intended withdrawal from the
Agreement, of its intention to terminate it.
(3) The termination of this Agreement shall not affect the
rights and obligations of the Parties undertaken within the
framework of this Agreement unless otherwise agreed to by the
Parties.
In witness whereof the undersigned, being duly authorised
thereto by their respective Governments, have signed and sealed
this Agreement.
Done at Cape Town on this 5th day of September in the year
2006 in two originals in the Russian and English languages, both
texts being equally authentic.
